Strong investor demand across local, regional and international markets has enabled DIP Holding to establish its initial public offering price, with Dubai Investments retaining an 80 per cent stake following the listing on the Dubai Financial Market.
The completion of a significant capital markets transaction has arrived with clarity and purpose. DIP Holding, the subsidiary of Dubai Investments PJSC, has confirmed its initial public offering price at AED1.12 per share following the successful conclusion of the bookbuilding and subscription process. The offering carries a total value of approximately AED1.9 billion, with an implied market capitalisation of AED9.7 billion upon listing.
The structure of the offering reflects a measured approach to market entry. Dubai Investments is offering 1,735,243,300 ordinary shares, representing 20 per cent of DIP Holding’s issued share capital, while maintaining control with an 80 per cent stake following the listing. These are existing shares being sold by Dubai Investments, which will receive the net proceeds from the transaction.
Khalid Jassim bin Kalban, Chairman of DIP Holding and Vice Chairman and Chief Executive Officer of Dubai Investments, characterised the investor response as a powerful endorsement of the business DIP has constructed. He noted that the final offer price reflects not merely the strength of investor demand, but also Dubai Investments’ commitment to creating a compelling opportunity for new shareholders, with an attractive entry point and dividend yield.
The milestone holds particular significance for Dubai’s capital markets. As the first IPO in the UAE this year, the offering demonstrates the resilience and depth of the Dubai Financial Market and the confidence investors place in high-quality UAE businesses.
Omar AlMesmar, Chief Executive Officer of DIP Holding, emphasised the company’s clear growth strategy and strong track record, with a priority focused on delivering sustainable growth, robust cash generation and long-term returns for all shareholders.
Dividend Returns and Market Performance
DIP Holding has established a structured dividend policy that reflects confidence in future performance. The company expects to pay annualised cash dividends of AED700 million in respect of the financial year ending 31st December 2026, rising to AED725 million in 2027 and AED750 million in 2028. Distributions will occur on a semi-annual basis, subject to Board recommendation and shareholder approval.
The first post-IPO dividend distribution, relating to the full second half of 2026, will reach AED350 million and is expected to be paid in April 2027. This arrangement ensures that eligible shareholders will benefit from dividends covering the entire second half of 2026 rather than only the period following admission. Based on the expected annualised dividend of AED725 million for financial year 2027 and the final offer price, the implied dividend yield stands at approximately 7.5 per cent upon listing.
The completion of the offering and admission to listing are anticipated for 11th November 2026, subject to market conditions and receipt of relevant regulatory approvals in the UAE. Successful subscribers across the various tranches will be notified of their final allocation of shares on 10th November 2026, with refunds of surplus subscription amounts commencing on the same date.
What it means for Abu Dhabi
This listing represents a significant moment for Abu Dhabi’s broader economic ecosystem. As the first IPO in the UAE this year, DIP Holding’s successful pricing and anticipated admission to the Dubai Financial Market demonstrate the continued resilience and depth of the nation’s capital markets. The strong investor response from local, regional and international participants reflects growing confidence in UAE-based businesses and the attractiveness of well-managed enterprises with stable revenue streams and clear dividend policies.
The transaction also underscores the importance of Dubai Investments’ portfolio in contributing to UAE economic strength. Earlier in 2026, as we reported in coverage of comparable investment vehicles, major UAE holding companies such as Alpha Dhabi demonstrated robust performance with nine-month profits reaching AED12.8 billion, signalling the strength of the nation’s investment landscape. DIP Holding’s listing adds another layer of depth to the market, offering investors exposure to an infrastructure-like platform with long-term tenant relationships and recurring income, qualities that align with the broader growth narrative within the UAE’s financial sector.
