DIP Holding opens subscription for Dubai Financial Market listing

DIP Holding opens subscription for Dubai Financial Market listing

The subsidiary of Dubai Investments has set its IPO price range and begun accepting investor subscriptions ahead of an anticipated November debut on the Dubai Financial Market.

The mechanics of capital markets move with quiet precision, and on Tuesday the subscription period commenced for DIP Holding’s initial public offering on the Dubai Financial Market. The offer price range has been established at between AED1.10 and AED1.15 per share, valuing the company at between AED9.5 billion and AED10.0 billion at listing.

A total of 1,735,243,300 shares, representing 20 percent of the company’s issued share capital, will be offered through the sale by Dubai Investments PJSC, the selling shareholder who will retain an 80 percent stake following completion. The total offering is expected to generate between AED1.9 billion and AED2.0 billion, with Dubai Investments retaining the proceeds from the transaction. The subscription period runs from 27th October through 3rd November 2026, with the final offer price to be determined following the book-building process and announced on 4th November.

For investors, dividend yield represents a significant consideration. Based on the expected annual dividend of AED725 million for 2027, the price range implies a dividend yield of approximately 7.27 percent at the high end and 7.60 percent at the low end. The company intends to distribute cash dividends on a semi-annual basis, with the first post-IPO dividend distribution of AED350 million, relating to the second half of 2026, expected to be paid in April 2027. From this point forward, the company expects to distribute AED362.5 million in October 2027 and AED362.5 million in April 2028, with distributions anticipated to reach AED750 million annually from 2028 onwards, payable in equal semi-annual instalments. From 2029 onwards, DIP Holding expects to maintain annualised dividends in line with, or above, the 2028 level.

The completion of the offering and admission of ordinary shares to trading on the DFM are currently expected to take place on or around 11th November 2026, subject to market conditions and obtaining the relevant regulatory approvals. A lock-up period of 180 days will apply to both the selling shareholder and the company following admission, subject to customary exceptions. As we reported in our earlier coverage, Dubai Investments Park’s parent company announced plans to list on the Dubai Financial Market, marking a significant milestone for the 23 million square metre mixed-use community.

A total of 173,524,330 offer shares, representing 10 percent of the offering, will be allocated to investors as part of the normal allocation process. xCube LLC has been appointed as the stabilisation manager, and may undertake stabilisation transactions with a view to supporting the market price of the shares during the 30 calendar days following the first day of trading on the DFM. The Internal Shariah Supervision Committees of Emirates NBD Bank PJSC and Dubai Islamic Bank PJSC have issued pronouncements confirming that the offering is compliant with Shariah principles.

What it means for Abu Dhabi

The Dubai Financial Market continues to attract major capital-raising transactions, reinforcing the emirate’s position as a leading financial centre in the region. This listing represents confidence in the management and growth prospects of DIP Holding, a company with significant operations and market presence, and demonstrates the continued appetite among institutional and retail investors for quality equity offerings.

For shareholders and the broader investment community, the anticipated semi-annual dividend distributions provide a reliable income stream from a well-established company. The listing process itself, conducted through a structured book-building process overseen by prominent global and regional financial institutions, further demonstrates the depth and sophistication of market infrastructure now available to issuers and investors within the emirate’s financial ecosystem.
