IHC confirms Fount Trust as ultimate parent and sets out stewardship rationale

IHC has confirmed that Fount Trust is its ultimate parent following a restructuring above Royal Group, stressing there is no change to its governance, ADX listing or ultimate beneficial owner.

Restructuring preserves operations and oversight

Abu Dhabi, 21 September 2026 — International Holding Company (IHC) has confirmed that Fount Trust is its ultimate parent following a restructuring of ownership arrangements above Royal Group. The company said the move does not affect IHC’s operations, strategy or day-to-day business activities.

IHC emphasised that Royal Group remains in existence and continues to operate, and that the ownership chain up to Royal Group is unchanged. Pal Group of Companies remains IHC’s majority shareholder, and Royal Group remains the majority shareholder of Pal Group. The restructuring positions Royal Group under Fount Trust as the ultimate parent, without changing IHC’s ultimate beneficial owner.

Long-term stewardship and continuity

The company explained the rationale as a desire to support long-term stewardship and continuity across generations. It said an enduring ownership framework can help sustain patient investment, foster durable partnerships and allow development of capabilities over extended horizons while maintaining alignment of ownership interests.

IHC described the objective as combining continuity of purpose with flexibility to adapt. The statement noted that clear responsibilities and accountability provide a consistent foundation for successive stewards, while authorised decision-makers retain the judgment necessary to respond to changing markets and opportunities.

Syed Basar Shueb, Chief Executive Officer of IHC, said: “Our responsibility is to build an institution capable of creating value over generations. That requires clear responsibilities and an ownership framework that can endure as people and circumstances change. The establishment of Fount Trust provides a framework for long-term stewardship, while Royal Group continues to operate and fulfil its role within the ownership structure. For IHC, our Board and management remain focused on disciplined execution, the ability to adapt and invest, and building lasting value for our shareholders.”

IHC reiterated that its Board and management will continue to exercise their responsibilities through the company’s established governance and approval processes. The company remains subject to the reporting, disclosure and corporate governance requirements that apply to an ADX-listed entity.
